Partner (Affiliate) Terms and Conditions

These terms govern your participation as an affiliate or publisher (the "Affiliate", "you") in the programs offered by Excelia Ads Pte. Ltd. ("Excelia Ads", "we"). By accepting them in the partner portal, or by running any Excelia Ads program, you agree to them.

1. Eligibility and acceptable media

Your websites, apps and other media ("Media") must be fully functional (no "under construction" sites or sections) and must not infringe any personal data, intellectual property, copyright or trademark rights. Your Media must not contain, promote or link to:

• racial, ethnic, political, hate-mongering or otherwise objectionable content;
• investment or money-making opportunities or advice not permitted by law;
• gratuitous violence or profanity, or material that defames, abuses or threatens physical harm to others;
• illegal substances or activities, including illegal online gambling;
• software piracy (e.g. warez, P2P, BitTorrent), hacking or phreaking;
• spoofing, redirecting or trafficking from adult-related websites to gain traffic;
• any other illegal activity.

During your relationship with us and for three (3) months after it ends, you may not work directly with advertisers you were introduced to through Excelia Ads.

2. Term and termination

These terms apply from your acceptance until terminated. Unless an insertion order says otherwise, either party may terminate on two (2) business days' notice. They terminate immediately on the dissolution or insolvency of either party. Excelia Ads may pause or end any campaign and remove any advertisement at any time, for any reason.

3. Reporting and tracking

You can view reports on your activity in the Excelia Ads partner portal. Figures shown during a month are estimates and may be adjusted by Excelia Ads until fifteen (15) days after the end of that month, when they become final. Excelia Ads' tracking and statistics are final and binding and are the sole basis for calculating payments.

Conversions are credited only when they are tracked by our system and approved. Conversions may be declined or not credited where they fail traffic-quality, fraud, duplicate, session or other program rules, where an advertiser rejects them, or where they fall outside the program's terms. Only approved conversions are payable.

4. Representations and warranties

You represent and warrant that:

• your Media complies, and will comply, with all applicable laws and regulations and does not contain, promote or link to libelous, defamatory, abusive, violent, prejudicial, obscene, sexually explicit, illegal or otherwise prohibited content;
• you maintain, for as long as we work together, a publicly available process for third parties to report and request removal of infringing or allegedly infringing content;
• you will not engage in, promote or endorse any illegal activity;
• you own or have the legal right to use and distribute all content, products and services displayed on your Media;
• you will not use deceptive practices when marketing advertisers' offers or presenting them to consumers;
• you have the right, power and authority to enter into these terms;
• you will not alter, modify, remove, conceal or otherwise interfere with any tags, links, pixels, parameters or other tracking data provided by Excelia Ads ("Site Data"); transactions that are not properly tracked are not payable;
• you will stop using all Site Data immediately when instructed or when these terms end;
• you will display creatives exactly as provided, without alteration;
• you are solely responsible for all liabilities, costs, claims and legal fees arising from fraudulent or non-compliant activity carried out directly or indirectly by you or your sub-publishers.

Excelia Ads makes no promise regarding the advertiser programs available to you, including their results or revenue.

5. Placement of ads

You may not place Excelia Ads advertisements on third-party sites or networks without our prior written approval, or on pornographic, offensive, warez, illegal file-sharing, spyware or malicious-code sites or other questionable placements. If you do, Excelia Ads may withhold payment for the entire campaign, take legal action and claim compensation for its damages.

6. Limitation of liability; disclaimer

In no event shall Excelia Ads be liable for any damages of any kind arising from your use of the partner portal or our services, the operation of a program, or your display of any program creative, including indirect, incidental, special, punitive or consequential damages, even if advised of their possibility. The portal, information and services are provided "as is" without warranty. To the maximum extent permitted by law, Excelia Ads disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose, and does not warrant that any information it provides is accurate, complete or current.

7. Indemnity

You will indemnify, defend and hold Excelia Ads harmless from all third-party claims, liabilities, costs and expenses (including reasonable legal fees) arising from (a) your improper use of our services, including acts or omissions of sub-publishers acting through you; (b) your improper operation of a program; or (c) your breach of these terms.

8. Assignment and governing law

Excelia Ads may assign these terms to an affiliate company or business successor. You may not assign them without our prior written consent, which will not be unreasonably withheld. These terms are governed by the laws of the Republic of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute arising from them.

9. Severability

If any provision is held invalid, illegal or unenforceable, the remaining provisions are unaffected and these terms are read as if that provision had not been included.

10. Force majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, fire, storm, war, government action, labour conditions, earthquakes, natural disasters or internet outages.

11. Earnings and payments

Earnings follow the payout rates shown in the partner portal or set out in the applicable insertion order.

• Payment methods: wire transfer, or PayPal for payments up to USD 1,000.
• Payment terms: NET 30 for new partners, with the option to improve terms after the first month of promotion.
• Minimum payment: USD 500 by wire, USD 30 by PayPal. Smaller balances roll over to the following month until the minimum is reached.
• You are responsible for any taxes, fees or duties levied in connection with these terms. Excelia Ads may make any deductions or withholdings required by law.

To be paid, send an invoice to finance@excelia-ads.com, copying your account manager, that includes your company name, address and payment details and the period(s) invoiced, addressed to: Excelia Ads Pte. Ltd., 77 High Street, #10-12B High Street Plaza, Singapore 179433.

12. Miscellaneous

These terms are the entire agreement between the parties on their subject and supersede all prior discussions. Each party is an independent contractor. Notices may be sent to the contact details you provided, by email, courier or registered mail. Excelia Ads may update these terms; the version shown in the partner portal applies from the date you accept it or continue to provide services, and takes precedence over any other terms you issue or reference, including in insertion orders.

You authorise Excelia Ads and its representatives to complete and submit, on your behalf, registrations or applications that third parties require for us to provide our services to you, including access to certain offers, and you waive any claim against Excelia Ads arising from such registrations or applications.
